Timothy Loh LLP Advises US Hedge Fund with over USD4 Billion of Assets Under Management on Opening of Hong Kong Office

Our SFC Licensing Practice and our Hedge Funds Practice advised New York based hedge fund manager in respect of the opening of its Hong Kong offices. The manager, which employs a volatility and convertible arbitrage strategy and invests in special situations with particular focus on private investments in public equities ("PIPEs"), has over USD4 billion of assets under management.

We guided the client through:

  • the negotiation and preparation of the executive service agreement for the expatriate portfolio manager and his family to relocate from New York to Hong Kong

  • the application to the Immigration Department of a work visa and dependent visas for the portfolio manager and his family

  • the negotiation of the commercial tenancy agreement for office space in a prime Central location

  • a determination of the licenses ("SFC licenses") required under the Securities and Futures Ordinance ("SFO") and the licensing application to the Securities and Futures Commission ("SFC"), including providing guidance on meeting responsible officer ("RO") requirements

  • the development of Hong Kong operational and compliance policies and procedures to ensure ongoing compliance with SFC regulatory obligations
